GAMESTOP CORP.'S ACQUISITION OF ELECTRONICS BOUTIQUE: AV&H was antitrust special counsel to GameStop Corp. in its $3 billion merger with rival video game retailer Electronics Boutique Holdings Corp. AV&H was able to engage the FTC's staff and demonstrate the unlikelihood of competitive harm from the merger. As a result, the FTC declined to issue a Second Request.
CINGULAR'S ACQUISITION OF AT&T WIRELESS: AV&H served as antitrust counsel to BellSouth and Cingular in the successful completion of Cingular's acquisition of AT&T Wireless. This precedent-setting merger was the largest all-cash merger in history.
MOVIE GALLERY'S ACQUISITION OF HOLLYWOOD VIDEO: In the contentious battle for control of Hollywood Video, AV&H successfully assisted Movie Gallery in obtaining rapid antitrust clearance for its bid and defeating Blockbuster Video's rival bid.
OMNICARE'S ACQUISITION OF NEIGHBORCARE: AV&H successfully navigated a lengthy Antitrust Division review in obtaining clearance of Omnicare's acquisition of its rival NeighborCare in the institutional pharmacy industry.
ENRON INTERNATIONAL KOREA'S SUIT ALLEGING RIGGING OF FOREIGN AUCTION: AV&H successfully represented Enron International Korea (EIK) in an antitrust action against CSFB in the Southern District of New York. The complaint alleged that when EIK attempted to auction certain of its energy assets, CSFB conspired with the bidders to rig the overseas auction. After AV&H obtained expedited foreign discovery, the claim was settled by the parties.
SUNGARD DATA SYSTEMS' ACQUISITION OF COMDISCO INC.: AV&H defeated the Antitrust Division's lawsuit to block SunGard's acquisition of its rival Comdisco in the business continuity/disaster recovery industry. AV&H obtained and won a precedent-setting expedited trial on the merits in the District Court for the District of Columbia, allowing SunGard to obtain Comdisco's business continuity assets in a bankruptcy auction.
PUREPAC PHARMACEUTICAL'S METFORMIN LAUNCH: AV&H represented Purepac Pharmaceutical Company with its launch of various pharmaceutical products containing the active ingredient metformin. The firm advised Purepac regarding patent and FDA matters and represented it in two cases involving exclusivity disputes under the Hatch-Waxman Act.
