AVH regularly deals with both the traditional and emerging intellectual property issues of corporate transactions. Our attorneys perform intellectual property due diligence, audits and analyses, and provide related counseling services in the context of all major corporate transactions, including mergers and acquisitions, joint ventures, venture-capital/private-equity financing, public offerings, license agreements and other types of contracts. Our attorneys have assisted clients with due diligence matters ranging from investment decisions for early round venture capital financing to multi-million dollar acquisitions. We also conduct audits for target companies by proactively identifying and rectifying possible issues that may hinder completion of a contemplated deal.
To help investors assess the likelihood of certain outcomes, we evaluate patent infringement actions and Patent Office activity. We have, for example, worked closely with private equity and venture capital firms, hedge funds and other large institutional investors.
